Flutter has received shareholder support for a secondary listing on the US stock ex-change. We are looking for a Senior Executive Compensation Manger with FTSE and NYSE experience to work on and support the transition to a US compensation reporting structure. You will be responsible for guiding the company on the implications of a secondary, and primary, US listing.

Senior Executive Compensation Manager: about the role

  • The executive compensation team is responsible for the preparation of all Remuneration Committee agenda items, design and management of executive compensation (Executive Directors, Executive Committee and other senior leaders across the group), design of short-term and long-term incentive plans, including target-setting and measurement of outcomes, and management of all share incentive plans in place across the group.
  • The executive compensation team, including this role, is currently 3 (Director of Executive Compensation & Share Incentives, Senior Manager and Manager).

Accountabilities:

  • Advise on US listing and ongoing requirements for executive compensation, working with external advisors as appropriate.
  • Prepare agenda and papers for meetings of the Remuneration/Compensation Committee throughout the year.
  • Ensure compliance with UK Corporate Governance requirements including drafting of the Directors’ Remuneration Report and future US SEC governance requirements and reporting, including drafting US proxy disclosures (i.e. CD&A), ensuring all requirements are met.
  • Manage executive compensation (including annual compensation cycle), including executive benchmarking, salary increases, long-term incentives, metric tracking, equity ownership guidelines, executive severance, and other executive policies, and prepare annual executive compensation review timeline for senior stakeholders.
  • Manage share award forecasts and dilution limits.  Work closely with the Group finance teams on tracking and reporting of all incentive awards to ensure the correct UK/US accounting treatment.
  • Manage participation in share incentive awards, including the annual nomination and grant process and enabling online automation of our share programmes.
  • Support the design of new incentive plan arrangements (as required from time to time) including modelling scenarios and outcomes and strengthening our communication of our programmes.
  • Testing of annual and long-term incentive plan outcomes, working closely with the Group finance teams.
  • Maintain awareness of the latest trends and regulations regarding executive compensation, especially in the US regulatory environment.

Experience:

  • Significant experience within a US listed business.
  • Experience within a compensation consultancy firm.
  • Solid understanding of US state and federal laws pertaining to compensation; working knowledge of global regulations.
  • Preparation of Remuneration Committee papers.
  • Experience within a rapidly changing work environment.
  • Strong drive to deliver at pace.
  • Strong sense of urgency in driving projects to completion.
  • Results oriented with ability to manage multiple priorities and ambiguity.
  • Ability to identify problems and offer pragmatic and simple solutions.
  • Ability to work effectively with teams and senior managers across multiple geographies.
  • Very strong numerical and advanced analytical and excel skills.
  • Ability to present information in a compelling way.
  • Excellent attention to detail.
  • Excellent interpersonal and communication skills – both oral and written.
  • Ability to travel regularly
